# Terms of Service

## Agreement to Terms
By installing, accessing, or using Embank Clarity (“the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.
**Important:** These Terms are between you and KDDLC AI Solutions, trading as EmbankAI (“EmbankAI,” “we,” “us,” or “our”). They are separate from and in addition to your agreement with Atlassian.
## 1. Definitions
**”App”** means Embank Clarity, an AI-powered ticket quality review application for Jira Cloud.
**”Company”** means KDDLC AI Solutions, trading as EmbankAI.
**”Customer”** or **”you”** means the organization or individual subscribing to the App.
**”Subscription”** means your paid or free license to use the App.
**”Jira Instance”** means your Atlassian Jira Cloud environment where the App is installed.
**”AI Provider”** means the third-party AI service you configure (OpenAI, Anthropic, or AWS Bedrock).
**”Review”** means one AI-powered analysis of a Jira ticket.
## 2. License Grant
### 2.1 Limited License
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to:
– Install and use the App in your Jira Instance
– Configure the App according to your needs
– Use the App’s features within your subscription limits
### 2.2 License Restrictions
You may NOT:
– Reverse engineer, decompile, or disassemble the App
– Modify, adapt, or create derivative works
– Rent, lease, sell, or sublicense the App
– Remove or alter any proprietary notices
– Use the App for illegal purposes
– Circumvent usage limits or license validation
– Share your subscription with other organizations
– Use the App to violate Jira’s or any AI Provider’s terms of service
## 3. Subscription Plans and Pricing
### 3.1 Subscription Tiers
**Free Tier:**
– Price: $0/month
– 1 project enabled
– 20 reviews per month
– Community support (email)
– No credit card required
**Pro Tier:**
– Price: $49/month
– 3 projects enabled
– Unlimited reviews
– Priority email support
**Team Tier:**
– Price: $149/month
– 10 projects enabled
– Unlimited reviews
– Advanced customization features
– Priority email support
**Enterprise Tier:**
– Price: $299/month
– 20 projects enabled
– Unlimited reviews
– Custom prompts and templates
– Dedicated support
– SLA available upon request

### 3.2 Free Trial
**30-Day Trial:**
– All new installations receive a 30-day free trial
– Full access to your selected tier’s features
– No credit card required
– Automatically converts to Free Tier if not upgraded
– Trial period begins on first project enablement
### 3.3 Billing
**Payment Method:**
– All payments processed via Stripe
– Credit card, debit card, or other Stripe-supported methods
– Billing currency: USD
**Billing Cycle:**
– Monthly subscriptions: Charged on the same day each month
– Annual subscriptions (if applicable): Charged annually
– First charge occurs when you upgrade from Free Tier or trial
**Automatic Renewal:**
– Subscriptions renew automatically
– You’ll be charged at the start of each billing period
– Cancel anytime to prevent next renewal
**Failed Payments:**
– Grace period: 7 days from failed payment
– During grace period: App continues working with warning notices
– After grace period: App is downgraded to Free Tier
– Your configuration and data are preserved
**Taxes:**
– Prices exclude applicable taxes (VAT, GST, sales tax)
– Taxes calculated at checkout based on your location
– You are responsible for all applicable taxes
### 3.4 Price Changes
– We may change prices with 30 days’ notice
– Notice provided via email to your Jira admin email
– Existing subscriptions: Price changes apply at next renewal
– You may cancel before renewal to avoid price increase
## 4. Usage Limits and Fair Use
### 4.1 Usage Limits by Tier
**Free Tier:**
– 20 reviews per calendar month
– Limit resets on the 1st of each month
– Exceeding limit: Reviews blocked until next month or upgrade
**Paid Tiers:**
– Unlimited reviews (subject to Fair Use Policy)
### 4.2 Fair Use Policy
Even “unlimited” plans are subject to fair use:
**Acceptable Use:**
– Normal business use for ticket quality review
– Automated reviews on configured workflows
– Manual reviews via `/clarity review` command
**Prohibited Use:**
– Intentionally excessive API calls to burden infrastructure
– Using the App as a general-purpose AI API
– Automated scripts that generate unreasonable review volumes
– Any use that degrades service for other customers
**Enforcement:**
– We monitor for abuse patterns
– Excessive use: We’ll contact you to discuss
– Continued abuse: Account may be suspended or terminated
– Refunds at our discretion
**Company Name:**
Throughout these Terms, references to “EmbankAI,” “Embank,” “we,” “us,” or “our” refer to KDDLC AI Solutions, trading as EmbankAI.
### 4.3 Project Limits
– Free Tier: 1 project
– Pro Tier: 3 projects
– Team Tier: 10 projects
– Enterprise Tier: 20 projects
Exceeding limits: You must upgrade to enable additional projects.
## 5. AI Provider Requirements
### 5.1 Your Responsibility
**You must provide:**
– Your own API key for OpenAI, Anthropic, or AWS Bedrock
– A valid, active account with your chosen AI Provider
– Sufficient credits/balance in your AI Provider account
**You are responsible for:**
– All costs from your AI Provider
– Compliance with your AI Provider’s terms of service
– Managing your API key security
– API rate limits imposed by your AI Provider
### 5.2 Data Processing by AI Providers
**Important:** When you use the App, your Jira ticket content is sent directly to your AI Provider for processing. This data flow is:
– Controlled by you (you provide the API key)
– Subject to your AI Provider’s terms and privacy policy
– Not stored or processed by Embank

### 5.3 API Key Security
**Your obligations:**
– Keep your API key confidential
– Do not share your API key
– Notify us immediately if your key is compromised: security@embank.ai
– Rotate your key if you suspect unauthorized access
**Our security:**
– API keys are encrypted using AES-256-GCM
– Stored in Atlassian’s secure Forge Storage
– Accessed only by your App instance
– We cannot view or access your keys
## 6. Customer Obligations
### 6.1 Account Requirements
You must:
– Provide accurate billing and contact information
– Maintain a valid Jira Cloud instance
– Have authority to bind your organization to these Terms
– Keep your account credentials secure
– Notify us of any security breaches
### 6.2 Acceptable Use
You agree NOT to:
– Violate any laws or regulations
– Infringe intellectual property rights
– Transmit malware, viruses, or harmful code
– Attempt to gain unauthorized access to our systems
– Interfere with other customers’ use of the App
– Use the App for competitive analysis or benchmarking
– Scrape or extract data using automated tools
### 6.3 Compliance
You are responsible for:
– Compliance with data protection laws (GDPR, CCPA, etc.)
– Obtaining necessary consents from your users
– Your use of AI-generated content
– Compliance with your organization’s internal policies
## 7. Intellectual Property
### 7.1 Embank’s IP
We retain all rights to:
– The App’s source code and design
– Embank trademarks, logos, and branding
– Documentation and training materials
– Algorithms and methodologies
### 7.2 Your IP
You retain all rights to:
– Your Jira ticket content
– Your configuration and templates
– Any custom prompts you create
### 7.3 Feedback
If you provide feedback, suggestions, or ideas:
– We may use them without obligation or compensation
– You grant us a perpetual, worldwide, royalty-free license
– Feedback does not include your confidential information
## 8. Confidentiality
### 8.1 Confidential Information
Includes:
– Your encrypted API keys
– Non-public configuration data
– Business information shared with our support team
### 8.2 Our Obligations
We will:
– Protect your confidential information
– Use it only to provide the App
– Not disclose it to third parties (except sub-processors)
– Maintain security measures to prevent unauthorized access
### 8.3 Exceptions
We may disclose confidential information:
– With your written consent
– To comply with legal obligations
– To defend legal claims
– To trusted sub-processors under confidentiality agreements
## 9. Warranties and Disclaimers
### 9.1 Limited Warranty
We warrant that the App will:
– Substantially conform to the documentation
– Be provided in a professional manner
– Not intentionally introduce malware
**Remedy:** If we breach this warranty, we’ll work diligently to fix the issue or provide a refund at our discretion.
### 9.2 Disclaimer
**TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:**
– **Merchantability**
– **Fitness for a particular purpose**
– **Non-infringement**
– **Accuracy or reliability of AI-generated content**
– **Uninterrupted or error-free operation**
– **Security or freedom from vulnerabilities**
**Important Disclaimers:**
**AI Content:**
– AI-generated reviews may be inaccurate, incomplete, or biased
– You are responsible for reviewing and validating AI outputs
– Do not rely solely on AI feedback for critical decisions
**Third-Party Services:**
– We are not responsible for your AI Provider’s service
– Downtime, errors, or costs from AI Providers are not our responsibility
– Atlassian’s Forge platform availability is not guaranteed by us
**Data Security:**
– No system is 100% secure
– While we implement best practices, we cannot guarantee absolute security
## 10. Limitation of Liability
### 10.1 Liability Cap
**TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED:**
– **For Free Tier:** $100 USD
– **For Paid Tiers:** The amount you paid in the 12 months preceding the claim
### 10.2 Excluded Damages
**WE SHALL NOT BE LIABLE FOR:**
– **Indirect, incidental, special, consequential, or punitive damages**
– **Loss of profits, revenue, data, or business opportunities**
– **Cost of substitute goods or services**
– **Downtime or service interruptions**
– **Actions or omissions of third parties (AI Providers, Atlassian)**
– **Deletion, corruption, or loss of data**
– **Inaccurate AI-generated content**
### 10.3 Exceptions
These limitations do NOT apply to:
– Our gross negligence or willful misconduct
– Death or personal injury caused by our negligence
– Fraud or fraudulent misrepresentation
– Violations of applicable law that cannot be limited by contract
### 10.4 Basis of the Bargain
You acknowledge that:
– These limitations are a fundamental basis of our agreement
– We would not offer the App at these prices without these limitations
– These limitations apply even if a remedy fails its essential purpose
## 11. Indemnification
### 11.1 Your Indemnification
You agree to indemnify, defend, and hold harmless Embank, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
– Your use of the App
– Your violation of these Terms
– Your violation of any law or regulation
– Your violation of third-party rights
– Content you submit through the App
– Your AI Provider’s actions or omissions
### 11.2 Our Indemnification
We will indemnify you against third-party claims that the App infringes their intellectual property rights, provided:
– You notify us promptly in writing
– You give us control of the defense and settlement
– You cooperate with our defense
**Remedies:** If an infringement claim occurs, we may:
– Obtain rights for you to continue using the App
– Modify the App to be non-infringing
– Replace the App with a non-infringing alternative
– Terminate your subscription and refund prepaid fees (pro-rated)
**Exclusions:** We are not liable for infringement caused by:
– Your modifications to the App
– Use of the App with third-party services (except documented integrations)
– Your content or data
– Use of the App contrary to our instructions
## 12. Term and Termination
### 12.1 Term
– These Terms begin when you install the App
– Continue until terminated by you or us
### 12.2 Termination by You
**Cancellation:**
– Cancel anytime via the Atlassian Marketplace or Jira admin panel
– Cancellation takes effect at end of current billing period
– No refunds for partial months
– You may continue using the App until period end
**Immediate Termination:**
– Uninstall the App from your Jira Instance
– Email support@embank.ai to request account deletion
### 12.3 Termination by Us
**For Cause:**
We may suspend or terminate immediately if:
– You breach these Terms
– Your account is 7+ days past due (after grace period)
– You engage in fraudulent activity
– You violate acceptable use policies
– Required by law or Atlassian
**Without Cause:**
– We may terminate with 30 days’ notice
– Refund of prepaid fees (pro-rated)
### 12.4 Effects of Termination
**Upon termination:**
– Your license to use the App ends immediately
– You must uninstall the App
– We will delete your encrypted API keys within 30 days
– We will delete your configuration data within 90 days
– Subscription metadata retained for 7 years (legal/accounting)
**Survival:**
These sections survive termination:
– Intellectual Property (Section 7)
– Confidentiality (Section 8)
– Warranties and Disclaimers (Section 9)
– Limitation of Liability (Section 10)
– Indemnification (Section 11)
– General Provisions (Section 15)
## 13. Refund Policy
### 13.1 Free Tier and Trials
– No refunds (no payment made)
### 13.2 Paid Subscriptions
**Within 14 Days of First Payment:**
– Full refund if you’re not satisfied
– Email support@embank.ai with “Refund Request”
– Refund processed within 10 business days
– App access terminated upon refund
**After 14 Days:**
– No refunds for monthly subscriptions
– Subscriptions are billed in advance
– Cancel anytime to prevent future charges
**Exceptions:**
– Technical issues preventing App use: Contact support for resolution or refund
– Billing errors: Full refund of erroneous charges
### 13.3 Downgrades
– No refunds for downgrades
– Downgrade takes effect at next billing cycle
– You retain current tier features until then
### 13.4 Refund Process

2. Include: Jira site URL, reason for refund
3. Allow 10 business days for processing
4. Refund issued to original payment method
## 14. Support and Service Levels
### 14.1 Support Channels

**Documentation:**
– Online documentation and guides

**Response Times:**
– Free Tier: Best effort (typically within 48 hours)
– Paid Tiers: Within 24 hours (business days)
### 14.2 Excluded Support
We do NOT provide support for:
– Your AI Provider’s service (contact them directly)
– Atlassian Jira issues (contact Atlassian support)
– Custom modifications you’ve made
– Third-party integrations not documented by us
### 14.3 Service Availability
**Target Uptime:**
– 99.5% uptime (measured monthly)
– Excludes scheduled maintenance
– Excludes third-party outages (Atlassian, AWS, AI Providers)
**Scheduled Maintenance:**
– Performed during off-peak hours when possible
– Notice provided 48 hours in advance (for major maintenance)
**No SLA:**
– Free Tier: No service level agreement
– Paid Tiers: SLA available upon request for Enterprise customers
## 15. General Provisions
### 15.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Embank regarding the App, and supersede any prior agreements.
### 15.2 Modifications
**We may modify these Terms:**
– Notice provided 30 days before effective date
– Notice sent to your Jira admin email
– Continued use after effective date constitutes acceptance
– If you don’t agree, cancel your subscription before effective date
**Version tracking:**
– Current version always available at [Terms URL]
– Material changes highlighted in notices
### 15.3 Governing Law
**Jurisdiction:**
– These Terms are governed by the laws of Ireland
– Exclusive jurisdiction: Courts of Dublin, Ireland
– You waive any objection to venue or inconvenient forum
**EU Customers:**
– Nothing in these Terms affects your statutory rights under EU consumer protection laws
### 15.4 Dispute Resolution
**Informal Resolution:**

– We’ll attempt to resolve disputes amicably within 30 days
**Arbitration (Optional):**
– Available for disputes under €50,000
– Arbitration conducted in English
– Dublin, Ireland location
**Class Action Waiver:**
– You agree to resolve disputes individually, not as a class action
### 15.5 Assignment
– You may not assign these Terms without our written consent
– We may assign these Terms (e.g., in a merger or acquisition)
– Permitted assigns are bound by these Terms
### 15.6 Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control:
– Natural disasters
– War, terrorism, civil unrest
– Government actions
– Internet or telecommunications failures
– Third-party service outages (Atlassian, AWS, AI Providers)
– Pandemics or public health emergencies
### 15.7 Waiver
– Failure to enforce any provision is not a waiver
– Waivers must be in writing to be effective
– Single waivers don’t constitute ongoing waivers
### 15.8 Severability
– If any provision is found invalid or unenforceable, the rest remains in effect
– Invalid provisions will be interpreted to reflect original intent to the extent possible
### 15.9 No Agency
– These Terms do not create a partnership, joint venture, or agency relationship
– Neither party may bind the other without written consent
### 15.10 Notices

### 15.11 Export Compliance
– You must comply with all export and import laws
– You represent that you are not on any prohibited party list
– You will not use the App in embargoed countries

If you are a government entity, the App is “commercial computer software” and you have only the rights granted in these Terms.
### 15.13 Third-Party Beneficiaries
– No third parties have rights under these Terms
– Exception: Our sub-processors may enforce indemnification provisions
